(1)
An assignment which is prohibited by or is otherwise not in conformity with the contract under which the assigned claim arises is not effective against the debtor unless:
- (a)
the debtor has consented to it; or
- (b)
the assignee neither knew nor ought to have known of the non-conformity; or
- (c)
the assignment is made under a contract for the assignment of future rights to payment of money.
(2)
Nothing in the preceding paragraph affects the assignor's liability for the non-conformity.
