A party may avoid a contract when the other party has induced the conclusion of the contract by fraudulent misrepresentation, whether by words or conduct, or fraudulent non-disclosure of any information which good faith and fair dealing, or any pre-contractual information duty, required that party to disclose.
(2)
A misrepresentation is fraudulent if it is made with knowledge or belief that the representation is false and is intended to induce the recipient to make a mistake. A non-disclosure is fraudulent if it is intended to induce the person from whom the information is withheld to make a mistake.
(3)
In determining whether good faith and fair dealing required a party to disclose particular information, regard should be had to all the circumstances, including:
- (a)
whether the party had special expertise:
- (b)
the cost to the party of acquiring the relevant information;
- (c)
whether the other party could reasonably acquire the information by other means; and
- (d)
the apparent importance of the information to the other party.
