(1)
The assignment of a claim transfers to the assignee:
- (a)
all the assignor's rights to performance in respect of the claim assigned; and
- (b)
all accessory rights securing such performance.
(2)
Where the assignment of a claim under a contract is associated with the substitution of the assignee as debtor in respect of any obligation owed by the assignor under the same contract, this Article takes effect subject to Article 12:201.
