A retention of ownership device arises in the cases set out in IX. — 1:103 (Retention of ownership devices: scope) paragraph (2) if:
- (a)
the seller, supplier or lessor is the owner of the supplied asset or acts with authority in relation to this asset;
- (b)
the asset is specified in the contract for proprietary security;
- (c)
the secured right exists; and
- (d)
the seller, supplier or lessor retains ownership.
(2)
Ownership is also retained for the purposes of paragraph (1)(d) where there is a transfer subject to the suspensive condition that the obligation covered is performed.
