(1)
The commercial agent is entitled to commission on any contract concluded with a client after the agency has ended, if:
- (a)
either
- (i)
the contract with the client is mainly the result of the commercial agent's efforts during the period covered by the agency contract, and the contract with the client was concluded within a reasonable period after the agency ended; or
- (ii)
the requirements of paragraph (1) of IV. E. — 3:301 (Commission during the agency) would have been satisfied except that the contract with the client was not concluded during the period of the agency, and the client's offer reached the principal or the commercial agent before the agency ended; and
- (b)
either
- (i)
the principal has or should have performed the principal's obligations under the contract; or
- (ii)
the client has performed the client's obligations under the contract or justifiably withholds the client's performance.
(2)
The parties may not, to the detriment of the commercial agent, exclude the application of paragraph (1)(b)(ii) or derogate from or vary its effects.
