Where an agent acting under a mandate for indirect representation within the meaning of IV. D. — 1:102 (Definitions) acquires goods from a third party on behalf of the principal, the principal directly acquires the ownership of the goods (representation for acquisition).
(2)
Where an agent acting under a mandate for indirect representation within the meaning of IV. D. — 1:102 (Definitions) transfers goods on behalf of the principal to a third party, the third party directly acquires the ownership of the goods (representation for alienation).
(3)
The acquisition of ownership of the goods by the principal (paragraph (1)) or by the third party (paragraph (2)) takes place when:
- (a)
the agent has authority to transfer or receive the goods on behalf of the principal;
- (b)
there is an entitlement to transfer by virtue of a contract or other juridical act, a court order or a rule of law between the agent and the third party; and
- (c)
there has been an agreement as to the time ownership is to pass or delivery or an equivalent to delivery in the sense of VIII. — 2:101 (Requirements for the transfer of ownership in general) paragraph (1)(e) between the third party and the agent.
