Richtlijn van het Europees Parlement en de Raad van 16 april 2014 tot wijziging van Richtlijn 2006/43/EG betreffende de wettelijke controles van jaarrekeningen en geconsolideerde jaarrekeningen
HET EUROPEES PARLEMENT EN DE RAAD VAN DE EUROPESE UNIE,
Gezien het Verdrag betreffende de werking van de Europese Unie, en met name artikel 50,
Gezien het voorstel van de Europese Commissie,
Na toezending van het ontwerp van wetgevingshandeling aan de nationale parlementen,
Gezien het advies van het Europees Economisch en Sociaal Comité (1),
Handelend volgens de gewone wetgevingsprocedure (2),
Overwegende hetgeen volgt:
- (1)
Richtlijn 2006/43/EG van het Europees Parlement en de Raad (3) stelt de voorwaarden vast voor de toelating en registratie van personen die wettelijke controles uitvoeren, de regels betreffende onafhankelijkheid, objectiviteit en beroepsethiek die op die personen van toepassing zijn, alsmede het kader voor het publieke toezicht dat op hen wordt uitgeoefend. Deze voorschriften moeten echter op het niveau van de Unie verder worden geharmoniseerd om te zorgen voor meer transparantie en voorspelbaarheid van de vereisten die op deze personen van toepassing zijn, en om hun onafhankelijkheid en objectiviteit bij het uitvoeren van hun taken te verbeteren. Tevens is het van belang het minimumconvergentieniveau te verhogen van de controlestandaarden volgens welke de wettelijke controles worden uitgevoerd. Voorts is het voor het versterken van de bescherming van beleggers van belang het publieke toezicht op wettelijke auditors en auditkantoren te versterken door de onafhankelijkheid van publieke toezichthoudende autoriteiten in de Unie te verbeteren en aan deze autoriteiten passende bevoegdheden te verlenen, onder meer onderzoeksbevoegdheden en bevoegdheden tot het opleggen van sancties, teneinde inbreuken op de van toepassing zijnde regels binnen het kader van het verstrekken van controlediensten door wettelijke auditors en door auditkantoren op te sporen, te ontmoedigen en te voorkomen.

Omdat organisaties van openbaar belang een grote openbare relevantie hebben, die voortvloeit uit de schaal, de complexiteit en de aard van hun activiteiten, moet de geloofwaardigheid van de gecontroleerde financiële overzichten van deze organisaties worden versterkt. Derhalve zijn de bijzondere bepalingen van Richtlijn 2006/43/EG inzake de wettelijke controle van organisaties van openbaar belang verder ontwikkeld in Verordening (EU) nr. 537/2014 van het Europees Parlement en de Raad (4). De bepalingen betreffende wettelijke controles van organisaties van openbaar belang in deze richtlijn dienen slechts op wettelijke auditors en auditkantoren van toepassing te zijn voor zover die wettelijke controles van deze organisaties uitvoeren.

Overeenkomstig het Verdrag betreffende de werking van de Europese Unie (VWEU) bestaat de interne markt uit een ruimte zonder binnengrenzen waarin het vrije verkeer van goederen en diensten en de vrijheid van vestiging gewaarborgd zijn. Wettelijke auditors en auditkantoren moeten in staat worden gesteld hun diensten inzake wettelijke controle binnen de Unie te ontwikkelen door hun de mogelijkheid te bieden dergelijke diensten te verstrekken in een andere lidstaat dan die waar zij zijn toegelaten. Door wettelijke auditors en auditkantoren in staat te stellen met hun beroepstitels van hun lidstaat van herkomst wettelijke controles te verrichten in een lidstaat van ontvangst, wordt in het bijzonder ingespeeld op de behoeften van groepen ondernemingen die als gevolg van de toenemende handelsstromen dankzij de interne markt in verschillende lidstaten financiële overzichten opstellen en deze financiële overzichten overeenkomstig het recht van de Unie moeten laten controleren. Het wegnemen van belemmeringen voor de ontwikkeling van wettelijke controlediensten tussen de lidstaten zou bijdragen tot de integratie van de auditmarkt in de Unie.

Voor de uitvoering van wettelijke controles is een adequate kennis vereist van vakgebieden zoals vennootschapsrecht, belastingrecht en socialezekerheidsrecht, die van de ene lidstaat tot de andere kunnen verschillen. Derhalve moet een lidstaat, om de kwaliteit van de op zijn grondgebied verstrekte wettelijke controlediensten te garanderen, een compensatiemaatregel kunnen opleggen wanneer een in een andere lidstaat toegelaten wettelijke auditor ook op het grondgebied van die lidstaat wil worden toegelaten om er een permanente vestiging op te zetten. Een dergelijke maatregel moet rekening houden met de beroepservaring van de wettelijke auditor. Dit mag geen buitensporige belasting vormen voor de wettelijke auditor en mag de verstrekking van wettelijke controlediensten in de lidstaat die de compensatiemaatregel oplegt, niet belemmeren of minder aantrekkelijk maken. De lidstaten moeten de kandidaat-wettelijke auditors kunnen toelaten op basis van een bekwaamheidsproef of een aanpassingsperiode zoals bepaald in Richtlijn 2005/36/EG van het Europees Parlement en de Raad (5). Aan het eind van de aanpassingsperiode moet de wettelijke auditor in de lidstaat van ontvangst tot het beroep kunnen toetreden na de beoordeling dat hij in die lidstaat beroepservaring heeft opgedaan.

Hoewel de primaire verantwoordelijkheid voor het verstrekken van financiële informatie moet liggen bij het management van de gecontroleerde entiteiten, spelen wettelijke auditors en auditkantoren een rol door het management actief te bevragen vanuit het perspectief van een gebruiker. Om de kwaliteit van controles te verbeteren, is het daarom van belang dat de professioneel-kritische instelling van wettelijke auditors en auditkantoren ten aanzien van de gecontroleerde entiteit wordt versterkt. Wettelijke auditors en auditkantoren moeten onderkennen dat er sprake kan zijn van een afwijking van materieel belang als gevolg van fraude of van fouten, ongeacht eerdere ervaringen van de auditor met de eerlijkheid en integriteit van het management van de gecontroleerde entiteit.

Het is van bijzonder belang de onafhankelijkheid te versterken, als wezenlijk element bij het uitvoeren van wettelijke controles. Om te bevorderen dat wettelijke auditors en auditkantoren bij het uitvoeren van wettelijke controles onafhankelijk zijn van de gecontroleerde entiteit, moeten een wettelijke auditor of een auditkantoor en elke natuurlijke persoon die zich in een positie bevindt waarin hij de uitkomst van een wettelijke controle direct of indirect kan beïnvloeden, onafhankelijk zijn van de gecontroleerde entiteit en mag deze persoon niet betrokken zijn bij de besluitvorming. Om die onafhankelijkheid te bewaren, is het ook belangrijk dat zij alle bedreigingen voor hun onafhankelijkheid, alsmede de veiligheidsmaatregelen die zijn toegepast om deze bedreigingen in te perken, registreren. Wanneer de bedreigingen voor hun onafhankelijkheid, zelfs na toepassing van veiligheidsmaatregelen om deze bedreigingen in te perken, te groot zijn, dienen zij de controleopdracht neer te leggen of daarvan af te zien.

Wettelijke auditors en auditkantoren moeten onafhankelijk zijn wanneer zij wettelijke controles van de financiële overzichten van gecontroleerde entiteiten uitvoeren, en belangenconflicten moeten worden vermeden. Bij het bepalen van de onafhankelijkheid van wettelijke auditors en auditkantoren moet rekening worden gehouden met het concept van een netwerk waarvan wettelijke auditors en auditkantoren deel uitmaken. Aan de onafhankelijkheidsvereiste moet ten minste worden voldaan gedurende de periode waarop de auditverklaring betrekking heeft, met inbegrip van de periode waarop de te controleren financiële overzichten betrekking hebben en de periode waarin de wettelijke controle wordt uitgevoerd.

Wettelijke auditors, auditkantoren en hun werknemers moeten met name afzien van het uitvoeren van de wettelijke controle van een entiteit, als zij een zakelijk of financieel belang in de entiteit hebben, en van het sluiten van transacties in financiële instrumenten die worden uitgegeven, gegarandeerd of anderszins ondersteund door een gecontroleerde entiteit, met uitzondering van rechten van deelneming in instellingen voor gediversifieerde collectieve belegging. De wettelijke auditor of het auditkantoor mag niet deelnemen aan de interne besluitvormingsprocessen van de gecontroleerde entiteit. Wettelijke auditors, auditkantoren en hun werknemers die direct betrokken zijn bij de wettelijke controleopdracht mogen pas taken op leidinggevend of bestuurlijk niveau bij de gecontroleerde entiteit aanvaarden, nadat een passende periode is verstreken na afloop van de controleopdracht.

Het is belangrijk dat wettelijke auditors en auditkantoren het recht op eerbiediging van het privéleven en het recht op gegevensbescherming van hun cliënten respecteren. Zij moeten daarom gebonden zijn aan strenge regels op het gebied van vertrouwelijkheid en beroepsgeheim, die echter de goede handhaving van deze richtlijn en van Verordening (EU) nr. 537/2014 of de samenwerking met de groepsauditor tijdens de uitvoering van de controle van geconsolideerde financiële overzichten, wanneer de moederonderneming in een derde land is gevestigd, niet in de weg mogen staan, mits Richtlijn 95/46/EG van het Europees Parlement en de Raad (6) wordt nageleefd. Deze regels dienen een wettelijke auditor of een auditkantoor echter niet toe te staan om buiten de samenwerkingskanalen als bedoeld in hoofdstuk XI van Richtlijn 2006/43/EG samen te werken met autoriteiten van een derde land. Die regels op het gebied van vertrouwelijkheid moeten ook gelden voor een wettelijke auditor die of een auditkantoor dat niet langer betrokken is bij een specifieke controletaak.

Een adequate interne organisatie van wettelijke auditors en auditkantoren dient te helpen bij het voorkomen van bedreigingen voor hun onafhankelijkheid. De eigenaren of aandeelhouders van een auditkantoor, alsmede zijn leidinggevenden, mogen daarom geen zodanige bemoeienis met de uitvoering van een wettelijke controle hebben dat daardoor afbreuk wordt gedaan aan de onafhankelijkheid en objectiviteit van de wettelijke auditor die namens het auditkantoor de wettelijke controle uitvoert. Voorts moeten wettelijke auditors en auditkantoren passende interne beleids- en proceduremaatregelen nemen met betrekking tot werknemers en andere personen die bij de wettelijke controlefunctie binnen hun organisaties betrokken zijn, om de naleving van hun wettelijke verplichtingen te verzekeren. Die beleids- en proceduremaatregelen moeten in het bijzonder bedreigingen voor de onafhankelijkheid helpen voorkomen en aanpakken, alsmede de kwaliteit, integriteit en grondigheid van de wettelijke controle waarborgen. Die beleids- en proceduremaatregelen moeten evenredig zijn met de schaal en complexiteit van de activiteiten van de wettelijke auditor of het auditkantoor.

De wettelijke controle leidt tot het uitdrukken van een oordeel dat de financiële overzichten een getrouw beeld geven van de gecontroleerde entiteiten in overeenstemming met het toepasselijke kader voor financiële verslaglegging. De belanghebbenden zijn zich echter mogelijk niet bewust van de beperkingen van een controle, bijvoorbeeld met betrekking tot materialiteit, steekproeftechnieken, de rol van de auditor bij het opsporen van fraude en de verantwoordelijkheid van leidinggevenden, wat kan leiden tot een verwachtingskloof. Het is van belang meer duidelijkheid te geven over de reikwijdte van de wettelijke controle, teneinde deze kloof te verkleinen.

Het is van belang ervoor te zorgen dat wettelijke controles van financiële overzichten in de Unie van goede kwaliteit zijn. Deze controles dienen derhalve te worden uitgevoerd met inachtneming van de door de Commissie aangenomen internationale controlestandaarden. Aangezien internationale controlestandaarden ontworpen zijn om te kunnen worden gebruikt voor entiteiten van elk formaat en type, en in elk rechtsgebied, moeten de bevoegde autoriteiten in de lidstaten rekening houden met de schaal en complexiteit van de activiteit van kleine ondernemingen wanneer zij het toepassingsgebied van internationale controlestandaarden beoordelen. Lidstaten mogen geen bepalingen of maatregelen vaststellen die ertoe leiden dat wettelijke auditors of auditkantoren wettelijke controles niet overeenkomstig de internationale controlestandaarden kunnen uitvoeren. De lidstaten mogen aanvullende nationale controleprocedures of -vereisten uitsluitend verplicht stellen indien deze voortvloeien uit specifieke nationale wettelijke vereisten die met de reikwijdte van de wettelijke controle van financiële overzichten of de geconsolideerde financiële overzichten verband houden, dat wil zeggen dat die vereisten niet zijn vervat in de goedgekeurde internationale controlestandaarden, of indien zij bijdragen aan de geloofwaardigheid en kwaliteit van financiële overzichten en geconsolideerde financiële overzichten. De Commissie moet betrokken blijven bij de bewaking van de inhoud van de internationale controlestandaarden en het goedkeuringsproces ervan door de International Federation of Accountants (IFAC).

In het geval van geconsolideerde financiële overzichten is het van belang dat de verantwoordelijkheden van de wettelijke auditors die verschillende entiteiten binnen de betrokken groep controleren, duidelijk worden afgebakend. De groepsauditor moet daartoe de volledige verantwoordelijkheid voor de controleverklaring dragen.

Ter verbetering van de geloofwaardigheid en de transparantie van de in de Unie uitgevoerde kwaliteitsbeoordelingen, moeten de kwaliteitsborgingsstelsels van de lidstaten worden geregeld door de bevoegde autoriteiten die door de lidstaten met het publieke toezicht op wettelijke auditors en auditkantoren zijn belast. Met kwaliteitsbeoordelingen worden potentiële tekortkomingen in de wijze van uitvoering van wettelijke controles voorkomen of aangepakt. Om ervoor te zorgen dat de kwaliteitsbeoordelingen voldoende omvattend zijn, moeten de bevoegde autoriteiten bij het uitvoeren van deze beoordelingen rekening houden met de schaal en de complexiteit van de activiteit van de wettelijke auditors en auditkantoren.

Om de naleving van de eisen van deze richtlijn en Verordening (EU) nr. 537/2014 te verbeteren, en gezien de mededeling van de Commissie van 8 december 2010 met de titel ‘Het versterken van sanctieregelingen in de financiële sector’, moeten de bevoegdheid om toezichtmaatregelen te nemen en de sanctiebevoegdheden van de bevoegde autoriteiten worden uitgebreid. Er moet worden voorzien in administratieve geldboeten voor wettelijke auditors, auditkantoren en organisaties van openbaar belang bij vastgestelde inbreuken op de regels. De bevoegde autoriteiten moeten transparantie betrachten ten aanzien van de sancties en maatregelen die zij toepassen. Bij de vaststelling en publicatie van sancties moeten de grondrechten als vastgelegd in het Handvest van de grondrechten van de Europese Unie, met name het recht op eerbiediging van het privéleven en van het familie- en gezinsleven, het recht op de bescherming van persoonsgegevens, en het recht op een doeltreffende voorziening in rechte en op een onpartijdig gerecht worden gerespecteerd.

De bevoegde autoriteiten moeten administratieve geldboeten kunnen opleggen die daadwerkelijk afschrikkend zijn, bijvoorbeeld boeten tot een miljoen euro of hoger voor natuurlijke personen, en een percentage van de totale jaaromzet in het voorgaande boekjaar voor rechtspersonen of andere entiteiten. Die doelstelling kan beter bereikt worden door de geldboeten te relateren aan de financiële toestand van de persoon die de overtreding begaat. Onverminderd de mogelijkheid om de toelating van de betrokken wettelijke auditor of het betrokken auditkantoor in te trekken, moeten ook andere sancties met een passend afschrikkend effect worden overwogen. De lidstaten moeten bij het vaststellen van de op te leggen sanctie in ieder geval dezelfde criteria toepassen.

Klokkenluiders kunnen nieuwe informatie onder de aandacht van de bevoegde autoriteiten brengen die hen helpt bij het opsporen van en het opleggen van sancties voor onregelmatigheden, met inbegrip van fraude. Vrees voor vergelding of het ontbreken van stimulansen kunnen klokkenluiders echter daarvan weerhouden. De lidstaten moeten er daarom voor zorgen dat er geschikte regelingen van kracht zijn om klokkenluiders aan te moedigen om hen te attenderen op mogelijke inbreuken op deze richtlijn of Verordening (EU) nr. 537/2014, en om hen te beschermen tegen vergelding. De lidstaten dienen tevens de mogelijkheid te hebben hen te stimuleren om dit te doen; klokkenluiders dienen echter uitsluitend in aanmerking te komen voor dergelijke stimulansen wanneer zij nieuwe informatie aan het licht brengen die zij niet al bij wet verplicht zijn te melden, en wanneer deze informatie leidt tot een sanctie wegens inbreuk op deze richtlijn of Verordening (EU) nr. 537/2014. De lidstaten moeten er evenwel ook voor zorgen dat de klokkenluidersregelingen die zij ten uitvoer leggen, mechanismen bevatten die de aangegeven personen passende bescherming bieden, in het bijzonder wat betreft het recht op bescherming van hun persoonsgegevens en procedures om het recht van de aangegeven persoon op verdediging en om te worden gehoord, voordat een hen aangaand besluit wordt genomen, alsmede hun recht op een daadwerkelijk rechtsmiddel voor een rechtbank tegen hen aangaand besluit te waarborgen. De ingestelde mechanismen moeten ook de klokkenluiders passende bescherming bieden, niet alleen door hun persoonsgegevens te beschermen, maar ook door ervoor te zorgen dat zij niet het slachtoffer worden van ongerechtvaardigde vergelding.

Het publieke toezicht op wettelijke auditors en auditkantoren omvat de toelating en registratie van wettelijke auditors en auditkantoren, het vaststellen van standaarden inzake beroepsethiek en interne kwaliteitsbeheersing van auditkantoren, permanente scholing, alsmede stelsels voor kwaliteitsborging, onderzoek en sancties voor wettelijke auditors en auditkantoren. Om voor meer transparantie te zorgen in het toezicht op auditors en om de verantwoordingsplicht te vergroten, moet elke lidstaat één enkele autoriteit aanwijzen die belast wordt met het publieke toezicht op wettelijke auditors en auditkantoren. De onafhankelijkheid van dergelijke publieke toezichthouders ten opzichte van de beroepsgroep van de auditors is een kernvereiste voor de integriteit, de efficiëntie en het ordelijk functioneren van het publieke toezicht op wettelijke auditors en auditkantoren. Derhalve moeten de publieke toezichthouders bestuurd worden door personen die zelf geen beroepsbeoefenaars zijn en moeten de lidstaten onafhankelijke en transparante procedures voor het selecteren van dergelijke personen instellen.

De lidstaten moeten uitzonderingen kunnen vaststellen op de voorschriften waaraan controlediensten die geleverd worden aan coöperaties en spaarbanken moeten voldoen.
- (20)
De lidstaten moeten de taken van hun bevoegde autoriteiten aan andere bij wet gemachtigde of aangewezen instanties of organisaties kunnen delegeren of hun bevoegde autoriteiten kunnen toelaten deze aan hen te delegeren. Een dergelijke delegatie moet aan verschillende voorwaarden worden onderworpen en de betrokken bevoegde autoriteit moet de eindverantwoordelijkheid voor het toezicht dragen.

Om ervoor te zorgen dat de publieke toezichthouders hun taken op een effectieve manier vervullen, moeten zij daarvoor over toereikende bevoegdheden beschikken. Voorts moeten de publieke toezichthouders over voldoende menselijke en financiële middelen beschikken om hun taken te vervullen.

Voor een behoorlijk toezicht op wettelijke auditors en auditkantoren die grensoverschrijdend actief zijn of tot een netwerk behoren, is het noodzakelijk dat de publieke toezichthouders van de lidstaten onderling informatie uitwisselen. Om de vertrouwelijkheid van de op die manier uitgewisselde informatie te beschermen, moeten de lidstaten niet alleen de werknemers van de publieke toezichthouders aan het beroepsgeheim onderwerpen, maar ook alle personen aan wie de publieke toezichthouders mogelijkerwijs taken hebben gedelegeerd.

Wanneer er gegronde redenen zijn om op te treden, moeten het auditcomité, de aandeelhouders, de bevoegde autoriteiten die verantwoordelijk zijn voor het toezicht op wettelijke auditors en auditkantoren, of, indien het nationale recht hierin voorziet, de bevoegde autoriteiten die verantwoordelijk zijn voor het toezicht op de organisatie van openbaar belang, de bevoegdheid krijgen om bij een nationale rechtbank een procedure te starten voor het ontslag van de wettelijke auditor.

Auditcomités, of organen die soortgelijke bevoegdheden hebben binnen de gecontroleerde organisatie van openbaar belang, spelen een doorslaggevende rol in het leveren van een bijdrage aan wettelijke controles van hoge kwaliteit. Het is met name belangrijk de onafhankelijkheid en technische deskundigheid van het auditcomité te vergroten door te eisen dat een meerderheid van de leden van het comité onafhankelijk is en dat ten minste één lid ervan beschikt over de nodige deskundigheid op het gebied van controle van jaarrekeningen (financiële overzichten) en/of financiële verslaggeving. De aanbeveling van de Commissie van 15 februari 2005 betreffende de taak van niet bij het dagelijks bestuur betrokken bestuurders of commissarissen van beursgenoteerde ondernemingen en betreffende de comités van de raad van bestuur of van de raad van commissarissen (7) zet uiteen hoe auditcomités moeten worden opgericht en moeten functioneren. Gezien de omvang van de organisaties van openbaar belang, is het echter passend dat de functies die worden toegewezen aan het auditcomité van deze organisaties, of aan een orgaan dat soortgelijke bevoegdheden heeft binnen de gecontroleerde entiteit, ook mogen worden uitgevoerd door het leidinggevende of toezichthoudende orgaan als geheel. Organisaties van openbaar belang die een instelling voor collectieve belegging in effecten (icbe) of alternatieve beleggingsinstelling zijn, moeten ook worden vrijgesteld van de verplichting om een auditcomité te hebben. Deze vrijstelling houdt rekening met het feit dat de oprichting van een auditcomité niet passend is, wanneer de functie van deze instellingen uitsluitend bestaat in het bijeenbrengen van activa. Icbe's en alternatieve beleggingsinstellingen, alsmede hun beheersmaatschappijen, opereren in een strak afgebakende regelgevingsomgeving en zijn onderworpen aan specifieke governancemechanismen, zoals controles die door hun bewaarder worden uitgevoerd.

De via de mededeling van de Commissie van 25 juni 2008 vastgestelde ‘Small Business Act’, getiteld ‘Denk eerst klein — een ‘Small Business Act’ voor Europa’, en die werd herzien via de mededeling van de Commissie van 23 februari 2011, getiteld ‘De evaluatie van de ‘Small Business Act’ voor Europa’, onderkent de centrale rol van kleine en middelgrote ondernemingen in de economie van de Unie en beoogt het verbeteren van de algemene benadering van ondernemerschap en het verankeren van het ‘Denk eerst klein’-beginsel in de besluitvorming. In de in maart 2010 vastgestelde Europa 2020-strategie wordt ook opgeroepen tot het verbeteren van de bedrijfsomgeving, met name voor kleine en middelgrote ondernemingen, onder meer door de transactiekosten van zakendoen in de Unie terug te dringen. Artikel 34 van Richtlijn 2013/34/EU van het Europees Parlement en de Raad (8) bepaalt niet dat kleine ondernemingen hun financiële overzichten moeten laten controleren.

Om de rechten van de betrokken partijen te beschermen wanneer de bevoegde autoriteiten van de lidstaten met de bevoegde autoriteiten van derde landen samenwerken aan de uitwisseling van controle- of andere relevante documenten voor de beoordeling van de kwaliteit van de uitgevoerde controle, moeten de lidstaten ervoor zorgen dat de werkregelingen die door hun bevoegde autoriteiten zijn gemaakt en op basis waarvan de uitwisseling van dergelijke documenten plaatsvindt, genoeg waarborgen inhouden ter bescherming van het zakengeheim en commerciële belangen, met inbegrip van de industriële- en intellectuele-eigendomsrechten van de gecontroleerde entiteiten. De lidstaten moeten erop toezien dat die afspraken voldoen aan en stroken met de bepalingen van Richtlijn 95/46/EG.

De drempel van 50 000 EUR in artikel 45, lid 1, van Richtlijn 2006/43/EG was afgestemd op artikel 3, lid 2, onder c) en d), van Richtlijn 2003/71/EG van het Europees Parlement en de Raad (9). De in Richtlijn 2003/71/EG vermelde drempels zijn in artikel 1, lid 3, van Richtlijn 2010/73/EU van het Europees Parlement en de Raad (10) opgetrokken tot 100 000 EUR. Daarom moet de in artikel 45, lid 1, van Richtlijn 2006/43/EG vermelde drempel dienovereenkomstig worden aangepast.

Met het oog op de volledige uitvoering van het bij het VWEU ingestelde nieuwe wettelijk kader dienen de krachtens artikel 202 van het Verdrag tot oprichting van de Europese Gemeenschap toegewezen uitvoeringsbevoegdheden te worden aangepast aan en vervangen door passende bepalingen overeenkomstig de artikelen 290 en 291 VWEU.

Het afstemmen door de Commissie van de procedures voor de vaststelling van gedelegeerde en uitvoeringshandelingen op het VWEU en met name op de artikelen 290 en 291 dient per geval te geschieden. Teneinde in te spelen op de ontwikkelingen in de auditpraktijk en het auditberoep en om het toezicht op wettelijke auditors en auditkantoren te bevorderen, moet aan de Commissie de bevoegdheid worden overgedragen om overeenkomstig artikel 290 VWEU handelingen vast te stellen. Wat het toezicht op auditors betreft, is het gebruik van gedelegeerde handelingen nodig voor de ontwikkeling van de procedures voor samenwerking tussen de bevoegde autoriteiten van lidstaten en die van derde landen. Het is van bijzonder belang dat de Commissie bij haar voorbereidende werkzaamheden tot passende raadpleging overgaat, onder meer op deskundigenniveau. De Commissie moet bij de voorbereiding en opstelling van de gedelegeerde handelingen ervoor zorgen dat de desbetreffende documenten tijdig en op gepaste wijze gelijktijdig worden toegezonden aan het Europees Parlement en aan de Raad.

Om te zorgen voor eenvormige voorwaarden voor de uitvoering van de verklaringen betreffende de gelijkwaardigheid van toezichtstelsels voor auditors in derde landen, of de adequaatheid van de bevoegde autoriteiten van derde landen, voor zover zij individuele derde landen of individuele bevoegde autoriteiten van derde landen betreffen, moeten aan de Commissie uitvoeringsbevoegdheden worden verleend. Deze bevoegdheden moeten worden uitgeoefend overeenkomstig Verordening (EU) nr. 182/2011 van het Europees Parlement en de Raad (11).

Daar de doelstelling van deze richtlijn, namelijk het versterken van het vertrouwen van beleggers in de getrouwheid van de door ondernemingen gepubliceerde financiële overzichten door de kwaliteit van binnen de Unie uitgevoerde wettelijke controles verder te verbeteren, niet voldoende door de lidstaten kan worden verwezenlijkt en derhalve wegens de omvang en de gevolgen van het optreden beter door de Unie kan worden verwezenlijkt, kan de Unie, overeenkomstig het in artikel 5 van het Verdrag betreffende de Europese Unie neergelegde subsidiariteitsbeginsel, maatregelen nemen. Overeenkomstig het in hetzelfde artikel neergelegde evenredigheidsbeginsel, gaat deze richtlijn niet verder dan nodig is om deze doelstelling te verwezenlijken.

Richtlijn 2006/43/EG moet daarom dienovereenkomstig worden gewijzigd.
