Where a party terminates a contractual relationship under IV. E. — 2:302 (Contract for an indefinite period) but does not give a reasonable period of notice the other party is entitled to damages.
(2)
The general measure of damages is such sum as corresponds to the benefit which the other party would have obtained during the extra period for which the relationship would have lasted if a reasonable period of notice had been given.
(3)
The yearly benefit is presumed to be equal to the average benefit which the aggrieved party has obtained from the contract during the previous 3 years or, if the contractual relationship has lasted for a shorter period, during that period.
(4)
The general rules on damages for non-performance in Book III, Chapter 3, Section 7 apply with any appropriate adaptations.
